Terms and Conditions

Effective:

Version 1 · Effective October 26, 2026 · Grayscale Interactive S.A.S. de C.V. This document is a courtesy English translation of the Spanish original. The Spanish version governs: in case of any discrepancy between the two versions, the Spanish version prevails.

A. Argent XR Terms and Conditions

Part I. General provisions (apply to everyone)

Provider identity and contact

Argent XR is a service operated by Grayscale Interactive S.A.S. de C.V., a company incorporated in Mexico. Our only contact channel is the email address support@argentxr.com, which handles clarifications and complaints related to purchasing, as well as support and billing, privacy and the exercise of ARCO rights, intellectual property and abuse reports.

General conditions of use

Argent XR is a brand of Grayscale Interactive S.A.S. de C.V., the owner of the application's tools and features. The user may not claim, sell, promote or present them as their own.

By using and purchasing a license in the Argent XR application, the user does not acquire authorship or ownership of the Argent XR brand or of its tools, abilities, actions or features. Rights in uploaded content belong to their respective holders, in accordance with the section “Ownership and operational authorization”.

Acceptance, versions and changes to the terms

Before registering or purchasing, the customer will have access to the terms, the privacy notice and the conditions of their offer. Acceptance will be obtained through an affirmative action, and evidence of the accepted version will be kept. Merely visiting a public experience will not constitute acceptance of a subscription or of charges.

Substantial changes will be communicated by email at least thirty calendar days in advance, identifying their scope, version and proposed date. They will require express acceptance before they apply; silence or continued use of the service will not replace it.

If the customer does not accept, the period already paid will keep the accepted conditions. Without acceptance, the subscription will end at the first expiration after the announced date, with no new charges from that end and respecting protected special conditions. In Freemium, after the thirty-day notice we may suspend creation or editing until acceptance is given, facilitating recovery of the available content the user is entitled to obtain. Failure to accept will not make private content public or cause its automatic deletion; the applicable retention periods will govern.

Editorial corrections that do not change rights or obligations will not require new acceptance. If a legal obligation requires an earlier change, we will report its basis and scope, without presuming legally required consents. Price increases and optional permissions will keep their specific rules.

Governing law, jurisdiction and dispute resolution

These terms will be governed by Mexican law, without excluding the mandatory protections that apply to the user under applicable law, including their status as a consumer and their place of residence.

For business disputes that may validly be subject to a choice of forum, the parties submit to the competent courts of the city of Querétaro, Querétaro, Mexico. This choice will not displace legally non-waivable jurisdictions or venues. The commercial name of the plan will not by itself exclude consumer rights.

These terms do not impose mandatory arbitration or a general waiver of class actions. Any business arbitration will require a separate and express agreement defining rules, seat and costs, without excluding non-waivable rights.

You may send complaints to support@argentxr.com to seek a direct solution. That channel will be voluntary and will not constitute an additional mandatory private procedure before going to the competent authorities, including PROFECO (the Mexican Federal Consumer Protection Agency) where applicable, bringing actions or requesting urgent measures. Filing a complaint will not by itself result in suspension of the account.

Part II. Registration, sign-in and account

Capacity to contract, authorized users and minors

To register individually and accept these terms, even under Freemium, you must have the age and legal capacity required to bind yourself autonomously under applicable law. In Mexico, the age of majority begins at eighteen years of age. Anyone accepting on behalf of a company or institution must have the authority to bind it; the contracting party and the authorized users of its account may be different persons.

Argent XR does not admit users who are minors. An invitation to an organization or an informal permission does not enable access by minors.

If we identify an account of a minor, we will restrict the corresponding access and handle their data in accordance with the law, without automatically deleting projects belonging to their organization.

Anyone may report possible harm to a minor to support@argentxr.com, without needing an account. We will handle the report and verify the identity and authority of anyone who requests data or measures, without preventing urgent protective measures. The report will not by itself prove a violation or imply an admission of liability.

When we become aware of cases of violations of minors' rights, we will notify the competent authorities in accordance with applicable law.

Accounts and licenses

“Account” means all the information provided to create a workspace and sign-in in Argent XR.

The Argent XR plans and their features are described in the “Commercial Offer Sheet”. The common rules for accounts and licenses are as follows:

  • Limited: Online Pro subscriptions will be purchased for the monthly or annual periods offered and expressly accepted; Studio will be offered only monthly at launch. The renewal and cancellation provided in these terms will apply. In Enterprise, the term, payments and termination will be governed by the specific business agreement. The transition at the end of each plan will follow its applicable conditions, without imposing the online payment flow or an automatic downgrade to Freemium on Enterprise.
  • Tied to the account holder and authorized users: The license is tied to the holder customer. In Studio and Enterprise, authorized members may access through their individual accounts, within the contracted seats and permissions, without sharing credentials.
  • Revocable: Suspension or termination of the license for non-compliance will require just cause and will be governed by the section “Moderation measures, sanctions and review”, with the notices and review mechanisms provided there.
  • Non-sublicensable: Reselling accounts or sublicensing the platform as one's own software is not permitted. This does not prevent publishing or embedding experiences or allowing them to be viewed by the authorized audience, within the features and conditions of the plan. Viewing does not by itself grant editing, administration, a seat in the organization or rights to download or reuse the content.

The user must not share their account, password or license number with third parties. Measures in response to non-compliance will be governed by the section “Moderation measures, sanctions and review”, taking into account severity and risk; they will not by themselves entail immediate cancellation without explanation or the loss of mandatory refund rights.

An Argent XR account is unique per user and is limited to the registered license type. Correctable errors in the information will not by themselves be considered fraud and, where appropriate, an opportunity to correct them will be given. Proven falsification or impersonation will be handled in accordance with the section “Moderation measures, sanctions and review”.

The user may register again if their account has been closed and, in that case, may dispute the closure on verifiable grounds through the email support@argentxr.com.

User data

The processing of personal data and access to non-public content are governed by the Data Use Policy and by the section “Authorized access, providers and disclosure”. Personal data will not be sold; the access and communications necessary for the service will be limited to the applicable purposes, permissions and legal bases.

We may request information or documentation necessary to verify identity, age, representation or eligibility when there is a justified purpose, through proportionate requirements and secure means. In educational or institutional programs, the requirements applicable to each role will be documented; this does not mean requiring official identification from every visitor, nor does it by itself enable accounts for minors.

Part III. Use of the platform (all plans)

Ownership and operational authorization

Rights in content belong to their respective holders. The user declares that they are the holder of, or have sufficient authorization to upload, modify and share, the content, respecting the applicable licenses and attributions. Uploading content does not transfer its ownership to Grayscale Interactive S.A.S. de C.V.

The user grants Grayscale a non-exclusive authorization, limited to hosting, technically reproducing, converting, optimizing and transmitting the content in order to provide the service and carry out the user's publishing instructions. The necessary providers may take part, subject to protection obligations and without any right of independent exploitation. The authorization subsists only for as long as necessary to provide the service and to handle the applicable exit, deletion or justified retention procedures.

Using the user's content or brand in Argent XR campaigns, advertisements or portfolios, as well as training artificial intelligence models with that content, requires express and separate authorization for each purpose, in all plans, including Freemium. Displaying the Argent XR brand in the viewer does not constitute that authorization.

Acceptable use and content upload guidelines

The user must respect the content rules and refrain from:

  • Using or encouraging the use of content without sufficient rights or authorization.
  • Encouraging others to commit fraud in forums outside the Argent XR application.
  • Programming content or tools, or editing the code of the Argent XR application, for their own advantage. Measures for non-compliance will be governed by the section “Moderation measures, sanctions and review”. Any legal claim must be well founded and follow the applicable procedure.
  • Duplicating the application or the tools using an artificial intelligence generator. Grayscale may take the legal action that applies.

Restrictions and prohibited content

The user formally undertakes to refrain from publishing projects or files that incorporate:

  • Material that harms, exposes or exploits minors, an act that will lead to an immediate report to the corresponding legal authorities.
  • Non-consensual depictions of real people, including intimate images, digital edits or simulations created with artificial intelligence systems.
  • Statements that promote violence, terrorist conduct, acts of self-harm or direct threats.
  • Hate speech, harassment or discrimination directed at any individual or social group.
  • Content that infringes intellectual property rights, including copyrights and trademarks. Applicable authorizations, licenses, attributions and legal limitations or exceptions must be respected.
  • Disclosure of personal data, credentials or documentation protected by the privacy of third parties.
  • Deceptive practices, computer fraud, identity falsification or harmful disinformation schemes.
  • Malicious code, harmful scripts or files intended to compromise the service's technology infrastructure.
  • Promotion or facilitation of illegal activities, or unauthorized trade in weapons or prohibited substances.

Projects developed with Artificial Intelligence

The profile holder will be responsible for the rights and permissions of the content they contribute, including content created or modified with generative tools, and for the breaches attributable to them. This will not shift Grayscale's own liability to the holder or impose automatic indemnification for any claim. The holder must ensure due transparency through the corresponding labeling when emulating real environments or figures.

The holder must review the three-dimensional materials they contribute before publishing them or integrating them into external portals and will be responsible for their own breaches. This review does not exclude the obligations or liability that correspond to Grayscale, in accordance with the section “Liability of the parties and legal limits”.

Regarding explicit content

Uploading, storing, converting or publishing pornography, explicit sexual acts or extreme graphic violence is not permitted, even in private projects. Non-sexual nudity with an artistic, anatomical, medical or educational purpose will not by itself be considered explicit sexual content; it will remain subject to the other content rules and to the rights of third parties.

Illegal content, sexual exploitation of minors and non-consensual intimate content remain prohibited, even if kept private. A label or the creator being of legal age does not authorize prohibited content or prove the age of those who access links or embeds.

Content reports are received at support@argentxr.com. The report must state the link or identifier of the content and describe the reason for the report, together with the available information needed for its review. Illegal material or unnecessary personal data must not be forwarded.

Argent XR will review reports and take the justified measures that apply under these rules and applicable law. Merely filing a report does not prove a violation or imply the automatic deletion of the entire account.

Technical specifications and limits

Uploaded files must strictly comply with the storage quotas, supported extensions and maximum dimensions set for the contracted plan. The platform reserves the right to reject items that put the performance of the digital environment at risk.

Conversion and optimization may modify geometry, materials, resolution or scale. The Customer must review the result before publishing it or using it for a technical decision. The relevant formats, requirements and limits of the contracted service will be communicated. Web or augmented reality viewing does not by itself constitute a certified measurement or an engineering, manufacturing or safety validation. Compatibility will depend on the published requirements and on the device and browser used. These warnings do not eliminate the features expressly offered or the rights and remedies provided in these terms or under applicable law.

Converted model and deliverable

The deliverable of the service is the experience that the user prepares and publishes or shares from Argent XR, through the viewer, the embed, augmented reality and the launch packages that the contracted plan allows. The model that the platform converts, optimizes or prepares from the uploaded content is an internal representation necessary to provide that service; it is not a deliverable and is not offered for download or export as a file, either during the relationship or upon its termination.

This rule does not transfer to Grayscale any rights in the user's content nor authorize it to exploit that content outside the service, in accordance with the section “Ownership and operational authorization”. The original files uploaded by the user may be downloaded, with the permissions of the account or organization, for as long as they are retained under the applicable periods. Nor does it limit the information or personal data that the user is entitled to obtain under the law.

To present an experience, the viewer transmits the necessary resources to the device. Extracting, capturing, decompiling or reusing those resources, including the converted model, outside the experience or by means the platform does not offer is prohibited, except where the law expressly permits it.

Copyright notices and counter-notices

Notices of alleged copyright infringement must be sent to support@argentxr.com. They must include the name and contact details of the rights holder or representative, the work or content claimed, the right invoked and the electronic location of the material.

We will expeditiously handle legally sufficient notices and orders from authorities, with the corresponding removal or disabling measures and notification to the affected user. The measure will not definitively resolve ownership of the content.

The user may submit a counter-notice based on their ownership, authorization or an applicable legal limitation or exception.

When Article 114 Octies of the Mexican Federal Copyright Law applies, we will communicate the counter-notice to the claimant and reinstate the content if, within fifteen business days from that communication, the commencement of a judicial or administrative proceeding, criminal complaint or alternative dispute resolution mechanism is not proven. This will not lift an independent and justified restriction for another violation or a current order.

Preservation of evidence and communication of data will be limited to what is necessary and legally permitted. Additional enforceable requirements and other intellectual property rights will be handled in accordance with the applicable procedure.

Access to and communication of report data will be governed by the section “Authorized access, providers and disclosure” and will require a valid basis and necessary scope. The mere filing of a report or the involvement of a legal representative does not by itself authorize disclosing the identity of its participants.

Moderation measures, sanctions and review

Measures for non-compliance will be based on verified facts and will be proportionate to the severity, risk and recurrence. They may include requiring a correction, removing content or restricting features; serious or repeated breaches may justify suspension or termination of the account.

We will communicate by email the measure, its reasons, its scope and how to request its review. In the face of an urgent risk or a valid request, we may act before notifying; we will explain the measure afterwards, unless a legal impediment or a specific risk justifies deferring the notice.

Correctable registration errors will not by themselves be considered fraud. Where appropriate, an opportunity to correct them will be given. No indeterminate fines will be imposed and mandatory refund rights will not be extinguished. The measure will not entail automatically deleting projects unrelated to the violation.

The affected person may request review of a content removal, restriction or suspension they consider mistaken by email to support@argentxr.com, within six months following communication of the measure. They must identify the content or the account and the measure being challenged, and include the reasons and the relevant information to review the decision.

The request will be reviewed without undue delay, and a reasoned decision that may confirm, modify or lift the measure will be communicated by email.

Specific intellectual property procedures and orders from authorities will be handled according to their own rules and deadlines. The six-month period for this internal review does not shorten any longer legal period that may apply or condition access to authorities or the exercise of legally non-waivable rights.

Physical retention of content and evidence will follow the sections “Trash, account deletion and backups” and “Legal holds and evidence preservation”; a sanction does not authorize indiscriminate retention or disclosure.

Application integrity

Reports of bugs, errors and other application failures must also be sent to support@argentxr.com. The problem should be described and only the information necessary to locate and address it should be provided. Retention of tickets and their attachments is governed by the section “Retention of audit, support and security records”.

Support response and follow-up

Support requests are received at support@argentxr.com and handled on business days. If essential information is missing, we will request it.

We will prioritize cases according to their impact, especially security risks, loss or exposure of data and interruptions of essential features, and we will report their resolution or the reasons for closing them.

The initial response is not equivalent to resolution. Implementation of every suggestion is not guaranteed, and there is no single deadline for every error.

Updates, essential features and projects

Argent XR may update the service and its technical requirements. Planned changes that substantially reduce contracted essential features will be communicated by email at least thirty calendar days in advance, stating their effects, date and alternatives; any contractual modification will follow the applicable acceptance procedure.

If a change removes a contracted essential feature during the paid period and no alternative the customer accepts is offered, the customer may terminate the affected subscription and receive the unused proportional part of the paid period.

Projects will not be deleted to force acceptance of changes; the applicable retention periods will govern.

Urgent measures due to a legal obligation or security risks may be adopted before notice, with communication as soon as possible.

Permanent shutdown of the service

If Grayscale decides to permanently shut down Argent XR or a contracted plan, it will communicate the scheduled shutdown by email at least thirty calendar days in advance, stating the date and the means to download the original files still retained.

Renewals for services that will no longer be provided will be stopped, and the proportional part of unused paid periods will be refunded. Urgent shutdowns due to legal or security requirements will be communicated as soon as possible.

Confidentiality of non-public content

Grayscale will treat the Customer's non-public content as confidential, will use it only to provide the service and comply with applicable obligations, and will limit access to it to the personnel and providers who need it. The Customer's publishing instructions and authorizations will be respected.

This obligation is subject to the monetary cap on business liability and does not apply to information that is public, lawfully obtained from third parties without a duty of confidentiality, or independently developed.

Legally required disclosures will be limited to what is necessary and will be communicated when legally permitted. The liability rules and their exceptions provided in these terms are preserved.

Liability of the parties and legal limits

Grayscale will be liable for the acts, omissions and breaches attributable to it under the law and the obligations it has assumed. The involvement of providers will not by itself exclude those obligations.

The user will be liable for the rights, permissions and instructions for use of the content they contribute and for their own breaches. This will not shift to the user the liability that corresponds to Grayscale or create an automatic indemnification for any third-party claim.

Liability will not be excluded or limited for willful misconduct (dolo), gross negligence, attributable personal injury or other cases that the law does not permit to be limited. Warnings about conversion, beta status, availability or third-party services will not eliminate mandatory rights or expressly assumed commitments.

Any monetary cap in business relationships must be legally permissible, express, and define its scope and exceptions; it will not apply merely because of the plan's name or reduce non-waivable consumer rights. It will not limit the correction of improper charges, refunds, restitutions or credits that apply under the law or the commercial policies provided in these terms.

Incidents in third-party infrastructure and services

Argent XR uses third-party infrastructure and services, such as cloud, authentication and payment providers. Grayscale does not guarantee that those services are free of interruptions or breaches. Liability for an incident will be determined according to its cause, the obligations of each party and applicable law. To the extent legally permitted, Grayscale will not be liable for external events that are not attributable to it and do not arise from a breach of its own obligations.

Grayscale's obligations regarding the selection and configuration of providers, access protection, security, notification and incident handling are preserved. Where there is legally limitable contractual business liability, the monetary cap and exceptions provided in these terms will apply.

Monetary cap on business liability

Exclusively in business relationships where it is legally permissible and expressly accepted, Grayscale's liability cap for a single event or series of related events will be the greater of $2,000 MXN and the subscription fees for the affected service actually paid during the twelve months before the first event, excluding taxes. For this calculation, payments in USD will be expressed in MXN using the last FIX exchange rate published in the Diario Oficial de la Federación (Official Gazette of the Federation) before each payment; this rule does not modify the contracted rates.

In Freemium the cap will be $2,000 MXN. Independent events will not be artificially aggregated under a single cap.

The liabilities and remedies reserved in “Liability of the parties and legal limits” are excluded from the cap. It will not be applied to reduce non-waivable consumer rights. A specific business contract may expressly agree on another legally permissible cap, preserving those reservations.

Confidentiality, data and intellectual property: scope of the cap

In business relationships where it is legally permissible and has been expressly accepted, the monetary cap on business liability will also apply to the customer's contractual claims against Grayscale arising from attributable breaches of confidentiality, data protection or respect for intellectual property rights. Its formula, period and aggregation rules are preserved; no automatic compensation or additional cumulative cap per category is established.

The exceptions in the section “Liability of the parties and legal limits” remain outside the cap, including willful misconduct, gross negligence, attributable personal injury, legally non-waivable liabilities and the remedies reserved there.

The monetary cap will not replace the obligations of security, confidentiality and notification, or the cessation, removal, access, rectification or erasure measures that apply. It will not limit the powers or sanctions of authorities or bind data subjects or third parties merely by the customer's acceptance of the contract.

Additional damages and causation

In business relationships where it is legally permissible, claims for additional economic damages arising from a breach attributable to Grayscale will be limited to certain and provable damages and losses that are the immediate and direct consequence of that breach. To the extent permitted by law, remote, merely hypothetical or speculative losses and those lacking that causal relationship will be excluded.

The incident alone will not prove a loss of sales or profits. To the extent permitted by law, lost profits and indirect or consequential damages are excluded. Where applicable, the monetary cap on business liability will apply with the scope and reservations provided in these terms.

This rule does not create automatic indemnification or require a lawsuit as a universal prerequisite to making a claim. It does not reduce the liability exceptions, non-waivable rights or the corrections of charges, refunds, restitutions or credits reserved in these terms.

Third-party claims and defense or indemnification agreements

If a third party submits a claim related to content or instructions provided by the customer, we will inform the customer without undue delay, unless there is a justified legal impediment, and request the information necessary to review it. The customer will reasonably cooperate and provide the relevant licenses, permissions or background available to them. Communication of a claim will not by itself prove a violation.

Each party will be liable for the breaches attributable to it. The customer will be liable to Grayscale for the damages and reasonable expenses arising from third-party claims caused by content or instructions the customer provided in breach of these terms, to the extent permitted by law. Neither party may admit liability or agree to obligations on behalf of the other without express authorization.

Content measures and the copyright procedure will keep their specific rules; this clause does not authorize disclosing data or documents outside the permitted cases.

Part V. Visitors to published experiences (viewer and embeds)

Viewing without an account

Simply viewing public experiences through links or embeds is distinct from registering or purchasing. Opening an experience does not by itself mean purchasing a subscription or accepting charges. Visitors must respect the rights of third parties and the content rules; their data will be processed in accordance with the applicable privacy notice. Age verification of each visitor is not guaranteed.

Viewing does not grant editing, administration, a seat in the organization or rights to download or reuse the content, in accordance with the section “Accounts and licenses”. Nor does it authorize extracting, capturing or reusing the resources the viewer transmits to present the experience, in accordance with the section “Converted model and deliverable”. Content reports and copyright notices are received at support@argentxr.com, in accordance with the sections “Regarding explicit content” and “Copyright notices and counter-notices”. The processing of visitors' data is described in the “Short-form notice: viewer and published experiences”.

Part IV. Paid plans and purchasing

Restrictions and freedoms: license plans

Freemium license plan

The Argent XR brand will be present in all projects created under this license plan and may not be removed by the user at any time or under any circumstances in any type of medium, such as photography, screenshots, use of AI, video capture and post-processing, that is available on social networks, forums, public conversations, portfolios or web pages. Measures for violating this restriction will be governed by the section “Moderation measures, sanctions and review”; physical deletion will follow the applicable periods and exceptions of the section “Trash, account deletion and backups”.

Pro license plan

Argent XR allows only one seat per account with a Pro license. If more than one seat with the same features is desired, the Studio or Enterprise license, which allows more accounts under a single license, must be purchased.

The customer is responsible for owning, or holding a valid license to use, the logo uploaded to the application and displayed in the embed. Argent XR reserves the right to remove that logo in case of intellectual property infringement.

Early Adopters license plan

It offers the same benefits as the Pro license plan at a special launch price.

While the Early Adopters offer is announced as available, new and existing individual accounts that meet the published conditions may purchase it, including Freemium, Pro or Hosting accounts. One active Early subscription per individual account will be allowed, with the capacities and conditions of the accepted commercial offer sheet. Purchasing will be express; subscriptions will not be migrated automatically, and Studio/Enterprise organizations or contracts will not be converted into individual licenses.

When there is an individual period already paid, joining Early will be scheduled for its end, with prior acceptance of the date, currency, total price and conditions and respect for the applicable notices. The period will not be shortened, and the request alone will not generate an overlapping Early charge. A schedule accepted and confirmed while the offer is in effect will keep the conditions of that purchase for the confirmed effective date, even if the offer is later closed to new purchases. An unconfirmed request does not reserve conditions. The applicable cancellation and refund rights will be maintained.

An account whose Early subscription has ended may purchase again only under the offer then available and applicable, without automatically recovering its historical protection. The continuity, protected-price and grace rules already provided are maintained. Purchasing will not reset the calendar-month conversion quota or require new advertising or AI authorizations.

The Early Adopters offer will remain open without a numerical cap or fixed date while it is announced as available and in accordance with its public conditions. Argent XR may close it to new purchases at any time. The closure will not extinguish the protected price or the continuity conditions of subscriptions already purchased; the accepted conditions and the section “Rate increases, notice and acceptance” will be maintained.

The Early Adopters protected price will be kept as long as the subscription continues under the accepted conditions. Cancellation will stop renewals according to the applicable procedure, without withdrawing access or the price for the period already paid. For purposes of benefit continuity, if the holder withdraws the cancellation and keeps the subscription before that period ends, they will keep the protected price. Once the subscription has effectively ended due to cancellation, the transition to Freemium will apply; a later purchase will be governed by the offer then available, unless there is a more favorable specific agreement.

If the first charge attempt of a renewal is declined and there is a valid outstanding amount, an email notice will be sent with the affected charge, how to settle it and the deadline, stating the consequences for the service and the protected price. There will be three Monday-to-Friday days from that first decline to settle it, and retries will not restart the period. During the grace period, features and the protected price will be maintained, respecting any period already paid. Settling within that period will not interrupt Early Adopters continuity.

If the grace period expires without settling a validly due amount and Early Adopters is effectively terminated for that non-payment, the price benefit will be lost and the previously disclosed transition to Freemium will apply. There will be no automatic purchase of, or charge for, Pro at the ordinary rate. The account will not be deleted automatically and private content will not be made public; the applicable retention, rights and remedies rules will be preserved.

An error by Argent XR or its billing system that prevents payment will not by itself cause the loss of the protected price. The case will be reviewed, improper consequences will be corrected and a real opportunity to settle will be provided. Closing the offer to new purchases will not withdraw the protected conditions of subscriptions that maintain continuity.

Studio license plan

At launch, Studio will be purchased only for monthly periods. Studio allows access by authorized members through their individual accounts. The number of included seats and the conditions and price of additional seats will be those of the applicable commercial offer sheet presented to and accepted by the customer.

The organization manages its members' permissions, including permission to download original files. Converted models are not offered for download, in accordance with the section “Converted model and deliverable” of these terms.

Linking custom domains and authorized platforms requires purchasing the Private Hosting (Hosting Privado) add-on, at the price and billing period stated in the applicable commercial offer sheet presented to and accepted by the customer.

At launch, Studio and the Private Hosting add-on are purchased by writing to support@argentxr.com, with the applicable commercial offer sheet presented to and accepted by the customer.

Enterprise license plan

Enterprise is offered by quotation. Its price, capacities, term and payments will be those provided in the applicable commercial offer sheet and in its specific business agreement, respecting the precedence and legal reservations provided in these terms.

Hosting plan: access and limits

Hosting is available to individual accounts that already have current public publications, including those coming from Freemium, Pro or Early Adopters. It includes one seat and removes the Argent XR brand from those publications. It allows editing, republishing or revoking existing publications within its limits; it does not allow new uploads, conversions or publications, nor does it include white-label or private access. Studio and Enterprise will not move to this plan automatically.

Hosting includes 1 GiB of countable storage and requires usage to fit within that limit before it is activated. The period already paid will be respected; no other paid plan will be purchased or renewed automatically.

If the space is later exceeded, editing and republishing will be limited until it is brought within the limit.

Excess space will not automatically delete files or make private content public. Indefinite storage or publication is not promised.

Payments and invoicing

Recurring charges, renewal and cancellation

Before purchasing, the plan, period, currency, total amount with applicable taxes and charges, charge date and renewal conditions will be shown. Recurring charges will require express and informed consent.

Monthly and annual subscriptions with automatic renewal will have an email notice at least five calendar days before each renewal, stating the amount, date and how to cancel it.

You may cancel renewal immediately from “Plan and billing” in your account, without penalty or need to justify yourself. The request date and the end of paid access will be confirmed. If that option fails, you may request it at support@argentxr.com; a verifiable request from the holder received before the next charge will take effect from its receipt. If a renewal is executed after that cancellation, that charge will be canceled and refunded.

You will keep access during the period already paid, unless you request immediate closure or another legal remedy applies. Canceling renewal does not delete your account or your projects. The applicable refund policy and mandatory consumer rights will be respected.

Commercial offer sheet and offer version

The features, capacities, restrictions, add-ons and economic conditions of each plan will be described in a commercial offer sheet or offer identified by date and version, available before activating the plan or confirming the purchase. The offer presented to and accepted by the customer will form part of the applicable conditions, and its version will be kept together with the evidence of acceptance. In Enterprise, the precedence of the specific business agreement will be respected in the matters expressly agreed, with the legal reservations provided.

Before confirming a purchase, the currency, billing period, price, taxes and total to be paid will be disclosed, as well as the seats, storage, conversions, file limits, publishing and privacy features and add-ons that apply. The relevant units and restrictions will be stated clearly. The Freemium plan will also have an accessible description of its limits and features, without generating charges for activating it.

An update to the commercial page or offer sheet will not by itself modify conditions already accepted or allow the paid period to be reduced or a protected price to be withdrawn. Changes will be governed by the applicable procedures of these terms. Discrepancies must be clarified before confirming a new charge.

Per-currency rates and charge transparency

Offers for customers in Mexico will be presented in Mexican pesos (MXN). When rates in US dollars (USD) are offered, they will be rates specific to that currency and not an automatic conversion of the MXN rate.

The effective charge currency and the total amount, with applicable taxes and charges, will be shown before confirming payment and will appear on the receipt. The currency of a subscription will not be changed without prior information and the holder's acceptance.

If the customer's bank converts the charge to another currency or applies fees under its own contract, those amounts are unrelated to the rate charged by Argent XR. This does not exclude the review or correction of billing errors attributable to Argent XR.

Rates and Purchasing Schemes: The currency and total amount are governed by the section “Per-currency rates and charge transparency”. Enterprise will be purchased through a specific business agreement, outside the ordinary online subscription and billing flow, in accordance with the section “Payment issues, grace periods and Enterprise contracting”. Schools and institutions will purchase under Enterprise through their specific business agreement.

Payment Mechanisms and Processing: For subscriptions purchased online, including Pro, Studio, Early Adopters, Hosting and the Private Hosting add-on, bank credit and debit cards are accepted through an external payment processor; this flow does not accept transfers, convenience-store deposits or cash. Financial processing is carried out through the payment processor's infrastructure, without Grayscale Interactive storing full card numbers or banking credentials. In that flow, the user will select their subscription from “Plan and billing” (“Plan y facturación”) and complete the transaction in Argent XR's secure checkout; the account and its features will be updated once payment is confirmed. Private Hosting will be identified and accepted separately, including its amount and billing period, and will depend on a current and compatible Studio subscription; it is not a standalone plan. Enterprise will be purchased and paid in accordance with the specific business agreement and not through this ordinary subscription flow. Currency conversion and bank fees under the bank's own contract are distinguished from Argent XR's charges in accordance with the section “Per-currency rates and charge transparency”, without excluding the correction of errors attributable to Argent XR.

For subscriptions charged online, the dashboard allows managing the payment method and viewing the available receipts. Renewal, its cancellation and the alternative channel in case of portal failures are governed by “Recurring charges, renewal and cancellation”. Enterprise will be handled in accordance with its specific business agreement and the applicable mandatory rights.

Switching between monthly and annual billing

In Pro and Early Adopters, switches between monthly and annual billing will be scheduled for the end of the period already paid, with prior information about and acceptance of the effective date, currency, price, taxes, total and applicable conditions. The confirmed date must be compatible with the renewal notices provided in these terms. The new period will be charged when it begins; the request will not shorten the current period or by itself generate an advance charge, proration or commercial refund, without affecting the refunds and rights that apply.

The holder may withdraw a scheduled switch before it takes effect and will receive confirmation of the billing period that will continue. Requesting a switch is not by itself equivalent to canceling the subscription. The right to cancel renewal is maintained. If there is not enough time to apply the switch on a date while respecting the notices, the options will be disclosed before it is accepted, without imposing a new annual term as a requirement or charging for another option without authorization.

Switching the billing period of Early Adopters without interruption will not by itself cause a loss of continuity or of the benefit. The protected rates and conditions of the accepted offer will be respected, and the destination rate will be disclosed and expressly accepted; if there is no agreed protected rate for that billing period, a specific offer must be presented before proceeding, without thereby withdrawing the protection of the current billing period. Pro will not be purchased automatically, and the calendar-month conversion quota will not be reset. Plans offered only monthly and Enterprise will keep their specific rules.

How contracted storage is counted

The files in the customer's active space count against the storage quota (CAD originals while they are kept, models and their derivatives, own textures, scenes, thumbnails and publications), as does the trash while it can be restored. The account shows a breakdown of what takes up space.

Conversion may take up space for both the original and the results; the quota does not correspond exclusively to the size of the uploaded files.

System resources, internal backups and security or tax records do not count. Removing a file from the active space and from the trash frees up the corresponding quota.

Files will not be deleted automatically to fit within the quota, nor will the plan be expanded or an overage be charged automatically. In Studio, the quota is shared per organization; Enterprise is governed by its specific agreement.

Monthly quota and conversion usage

In Freemium, Pro, Early Adopters and Studio, the conversion quota will be computed per UTC calendar month and will reset at 00:00 UTC on the first day of the month, without carrying over the unused ordinary balance. The usage and the next reset date will be shown. Annual subscriptions keep monthly quotas and do not receive all of the year's units as a single pool. Enterprise will be governed by its specific agreement.

Changing plans will not reset the month or erase the recorded usage: the new limit will apply minus the existing usage, with information before the change. Exhausting the quota will prevent new conversions until the reset or an expressly purchased change, without generating automatic extra charges, deleting files or withdrawing other paid features that apply.

One unit will be consumed per conversion process of a file requested by the user that begins to run. Automatic retries do not consume additional units. A new, independent manual request may consume another unit, with prior information. Rejections before the start will not definitively consume a unit; a cancellation after the start or a failure attributable to the file may consume the unit.

If the error is attributable to Argent XR or its systems, the improper usage will be corrected or restored without consuming another unit to correct that same operation. The adjustment will not be refused solely because the month has changed; it will not duplicate credits or replace the other applicable rights and remedies.

Changes to additional Studio seats

Only a person authorized for billing may accept an increase in the additional Studio seat quota. Before confirming it, the charge proportional to the time remaining in the current period, the date and the new recurring cost will be disclosed. The increase will be activated when the corresponding payment is confirmed, without restarting the base plan's period.

A requested reduction in the number of additional seats purchased will take effect at the next renewal. Until then, the paid quota will be kept. No commercial refund will be due for that voluntary reduction alone, without affecting guarantees, improper charges or other applicable rights or refunds.

The administrator may immediately revoke a member's access. Revoking access and reducing the quota that will be renewed are different actions. Inviting or replacing a person using an available paid seat will not generate another charge. This rule is limited to additional Studio seats and does not modify the conditions of other plans or add-ons.

Payment issues, grace periods and Enterprise contracting

In online Pro and Studio subscriptions, if a renewal charge is declined and a valid amount remains outstanding, an email notice will be sent to the holder with the affected charge, an invitation to review or update their payment method, the means to settle it and the deadline.

The grace period will be three days for Pro and seven days for Studio, counted from the first declined attempt of that renewal. For this commercial grace period, Monday-to-Friday days will be counted; Saturdays and Sundays will not be counted. Retries will not restart the period. During the grace period, the contracted features will be maintained and any period already paid will be respected.

If the applicable period expires without settlement, the online Pro or Studio subscription will move to Freemium with the corresponding restrictions. The decline or plan change does not automatically delete the account or its files, does not make private content public, and preserves the retention and deletion rules approved in these terms.

The transition to Freemium after a termination for non-payment or cancellation applies transition restrictions: publications cannot be created or republished until a plan that allows it is purchased again; current publications remain visible with the Argent XR brand; and CAD originals are kept for at least ninety calendar days in accordance with the section “Retention of CAD originals”. These restrictions do not delete the account, its projects or access to its content.

If the first charge attempt of a Hosting plan renewal is declined and a valid amount remains outstanding, the affected charge, how to settle it, the deadline and the consequences for the service will be sent by email. There will be three Monday-to-Friday days from that first decline; retries will not restart the period. During the grace period, the contracted features will be maintained and any period already paid will be respected.

Once the grace period has expired without settlement, the Hosting plan will move to Freemium with the previously disclosed transition limits and effects. No other paid plan will be purchased automatically. The change will not automatically delete the account or its files or turn private content public; the retention, rights and remedies rules already provided will be preserved. Continuity of publications will be subject to the applicable limits, with no promise of indefinite or unlimited hosting.

For the Private Hosting add-on, the same notice and counting from the first decline will apply, with seven Monday-to-Friday days, provided that the base plan remains current and compatible. During that grace period, the add-on's contracted services will be maintained. If only the add-on is unpaid and the base plan is paid, the measure will be limited to the affected services of the add-on. If the corresponding controls cannot be maintained, access to or the affected feature will be suspended without making the content public or expanding its audience or authorized sites. The paid base plan will not be canceled due to that non-payment alone.

Errors by Argent XR or its billing system that prevent payment will be reviewed and corrected, without treating our own error as a definitive non-payment by the customer. Paid periods, legal rights and the retention commitments provided in these terms will be respected. In Enterprise, the specific agreement and its prior review will prevail; these rules will not replace different conditions validly agreed.

Enterprise is purchased through a specific business agreement outside the ordinary online subscription and billing flow. Its payment methods and conditions, due dates, notices, settlement and consequences of non-payment will be governed by that agreement.

The validly executed specific business agreement will prevail over these terms in the matters it expressly regulates differently; these terms will apply to everything else. That precedence will not exclude legally non-waivable rights or authorize actions contrary to the law. The plan's name does not by itself eliminate the protection owed to the customer.

Invoicing and CFDI: requests, corrections and receipts

Issuance of the applicable CFDI (Mexican digital tax invoice) will be the responsibility of Grayscale Interactive S.A.S. de C.V. You may provide the necessary tax data and request it, or ask for corrections, through the enabled system or support@argentxr.com. You will not be required to generate it yourself on a portal.

The inclusion of the transaction in a global invoice does not by itself extinguish the right to request the receipt; requests will be handled in accordance with the applicable tax rules and deadlines, avoiding duplicates.

Only the necessary tax data will be requested: RFC (tax ID), name or legal business name, tax regime, postal code and CFDI use. Its issuance will not be conditioned on submitting a Constancia de Situación Fiscal (tax status certificate) or paying an additional charge. The email address for receiving the CFDI will be optional, without prejudice to the email address required for the service account.

The payment processor's commercial receipt or invoice does not by itself replace the Mexican CFDI. The certified XML and its PDF representation will be provided when applicable.

Tax recording and support for all charges

All charges for Argent XR services, for both domestic and foreign customers, will be recorded and supported by the applicable CFDI and other tax documentation. Invoicing may be individual or global in accordance with tax provisions, without omitting transactions or duplicating income.

Receipts will be issued with the recipient's tax data or, only when applicable, with the corresponding generic code for domestic recipients or for foreign residents. The country of origin of the payment will not by itself be the criterion for assigning it.

Requests for individual receipts, corrections and adjustments will be handled in accordance with the sections “Invoicing and CFDI: requests, corrections and receipts” and “CFDI issuance, delivery and correction deadlines”.

Refunds and tax adjustments will be documented through the applicable CFDI and procedures under tax provisions, avoiding duplicates. Tax documentation does not replace the actual execution of the refund or credit balance that applies under these terms.

VAT on ordinary transactions

The prices of Argent XR's ordinary taxable services will include VAT (IVA) at the general rate of sixteen percent, regardless of the currency, the card's country of issuance or the origin of the payment. The total will be shown before purchasing, and the tax will be itemized in the CFDI in accordance with tax provisions.

Any different tax treatment will apply only when legally appropriate and the necessary support is available. The foreign origin of the payment will not by itself entitle a reduction of the tax.

CFDI issuance, delivery and correction deadlines

The CFDI is issued and made available, in XML and PDF, within the periods set by tax law.

Corrections are handled in accordance with the same provisions.

When completing a correction depends on a pending tax cancellation or acceptance, we will inform you of its status. The receipt will not be considered corrected until the corresponding valid tax document has been issued and made available.

Rate increases, notice and acceptance

Increases to the base rate will be communicated by email at least thirty calendar days in advance. The notice will state the current and proposed price, currency, first affected renewal and the options to accept or cancel. The increase may only apply to a renewal after that period; it will not modify the period already paid.

The new amount will require express acceptance before its first charge. Without acceptance, the increased price will not be charged; except for a protected-price condition, the subscription will end when the paid period ends and the previously disclosed transition will apply, without automatic deletion of the account or its projects.

Expressly agreed price and continuity conditions will be respected, including those of Early Adopters. This mechanism does not allow a current price protection to be withdrawn for not accepting an increase contrary to it.

The increase notice does not replace the renewal reminder sent at least five calendar days in advance.

Refund policies

Monthly subscriptions. Cancellation of renewal is governed by the section “Recurring charges, renewal and cancellation” and prevents new charged periods. Canceling does not by itself generate a refund of the current period; the applicable refund policy and mandatory consumer rights are maintained.

Commercial refund guarantee: deadlines and scope

As a commercial guarantee, you may request a full refund of the account's first monthly payment within seven calendar days from the purchase charge. In annual subscriptions, the guarantee will cover the initial payment and each renewal during the fourteen calendar days following the charge. It will be enough to send the request within the period to support@argentxr.com and identify the account and the payment.

Outside the stated windows, no refund will be due under this commercial guarantee. What matters is that the request was received within the period, even if its review or processing concludes afterwards.

The guarantee does not apply when abusive or fraudulent use is detected.

Ordinary monthly renewals are outside this commercial guarantee. This does not prevent claiming erroneous, duplicate or unauthorized charges, charges after an effective cancellation, or other legally applicable refunds or compensation. The commercial windows do not reduce legal deadlines.

This guarantee will also apply to Studio or Enterprise when there is no accepted specific contract establishing different commercial conditions. No contract may exclude the mandatory rights that apply.

Service failures and proportional restitution

In the event of an interruption attributable to Argent XR that prevents use of an essential feature of the service, we will work to restore it as soon as possible and communicate the follow-up.

If a failure attributable to Argent XR prevents use of a contracted essential feature for a relevant period, the customer may request an adjustment proportional to the affected time, as a credit balance or, where the law requires it, as a refund.

This restitution does not replace or limit mandatory credits, indemnification or other remedies. When Articles 92 Bis and 92 Ter of the LFPC (Mexican Federal Consumer Protection Law) apply, the legal credit will be respected, which may not be less than twenty percent of the price paid under the applicable case.

This claim is different from the seven/fourteen-day commercial guarantee.

Measures for non-compliance are subject to the section “Moderation measures, sanctions and review”. They will not extinguish the right to correct improper charges or other mandatory refunds.

Refund processing, deadlines and follow-up

We will resolve requests within a reasonable time. If essential data needed to resolve them is missing, we will say so, without requiring unnecessary information.

When the refund is due, we will initiate it without undue delay and communicate the amount, date and available reference. Stricter legal deadlines will prevail.

The refund will be directed to the original payment method. If the refund fails and that method does not allow it to be completed, we will arrange a valid and verified alternative, avoiding duplicate payments. We will not ask for passwords or bank codes.

It usually takes approximately five to ten business days from the start of the refund for it to appear on the card, depending on the processor and the bank; this is an estimate. We will follow up on delays or failures and communicate the status. A pending or failed refund will not be considered paid, and all delays will not automatically be attributed to the bank.

Effects of a refund on the subscription and content

A partial refund, a credit balance or the restitution of a duplicate or improper charge will not by themselves cancel a subscription that retains a valid payment. The charge and period being corrected will be identified; refunding a duplicate charge does not remove the legitimate payment for the same period.

If the valid payment for the current period is refunded in full and the purchase for that period thereby ends, the effective date and the transition to Freemium or to the plan the customer expressly purchases will be disclosed. No new paid subscription will be generated for that reason alone.

The refund does not entail deleting the account or all projects. The corresponding retention, export and exit rules will apply, without making private content public or recovering previously deleted files. Refunding an earlier period will not by itself cancel another validly paid current period.

Refunds will be documented in accordance with the section “Tax recording and support for all charges”.

Monthly conversion quotas follow the UTC calendar month, with a reset at 00:00 UTC on the first day and no carry-over of the ordinary balance. Annual plans keep monthly quotas. One unit applies per file process started, with the exclusions and restorations of “Monthly quota and conversion usage”. A plan change does not reset usage. In Studio, adding seats does not automatically increase storage or conversions.

Projects and publications are subject to the disclosed space and limits; infinite resources are not offered. MiB and GiB express binary storage units. Usage includes active content and restorable trash, with the exclusions, quota release and protections of “How contracted storage is counted”.

Purchasing, changes and continuity

Pro, Early and Hosting are purchased by online subscription with bank cards; that flow does not accept transfers or cash. At launch, Studio and Private Hosting are purchased by writing to support@argentxr.com; Private Hosting is identified and accepted separately and depends on a current and compatible Studio plan. Enterprise is purchased through an external B2B agreement; schools and institutions are served under Enterprise.

Early is available to new and existing individual accounts, including Freemium, Pro and Hosting, with one active Early subscription per account and express choice. The offer remains open without a fixed cap or date while it is announced as available. Continuity and price protection, and accepted and confirmed schedules, are respected in accordance with “Early Adopters license plan”.

Hosting may be purchased by individual accounts with current public publications, including Freemium, by first bringing their usage down to 1 GiB before activation or charging. Its continuity and content-protection limits apply, without automatically converting Studio or Enterprise organizations or making private content public.

Monthly/annual switches of Pro and Early take effect at the end of the paid period, with prior acceptance of the date and total, without proration for that switch alone. Additions of additional Studio seats are proportional to the remaining time and are activated after confirmed payment; reductions of the purchased quota apply at the next renewal. Revoking access or reusing an available paid seat does not create another charge.

Beta: during the beta, new accounts that register within the announced enrollment period receive Pro at no cost until the beta end date communicated to them, with email notice seven days and one day before. On that date they move to Freemium, with no charge and no automatic purchase of a paid plan.

  • Pro / Early / Hosting. Settlement period and effect: 3 Monday-to-Friday days from the first renewal decline; email notice. Features are maintained during the grace period; later transition according to the terms. Early loses protection only upon effective termination, with the reservations for our own errors.
  • Studio. Settlement period and effect: 7 Monday-to-Friday days from the first renewal decline; notice and continuity during the grace period. Later transition in accordance with the terms.
  • Private Hosting. Settlement period and effect: 7 Monday-to-Friday days; if only the add-on fails, its services are limited without canceling the paid base plan or making the content public.
  • Enterprise. Settlement period and effect: As set by the specific business agreement.

Retries do not restart the grace period. Renewal notices at least five calendar days in advance, cancellation and paid access, guarantees and other rights under the terms are maintained. This offer sheet does not replace acceptance of the total amount of each purchase or by itself modify conditions already accepted, protected prices or the Enterprise contract. Optional advertising, AI and analytics permissions remain independent of the plan.
